General Conditions of the Platform

1. INTRODUCTION

These general conditions govern the use of the website www.wishraiser.com and the donation service. Wishraiser.com is a digital fundraising platform that allows users, upon registration, to support nonprofit fundraising campaigns for charitable and social projects with one or more donations. Wishraiser aims to improve the fundraising process by facilitating relationships between supporters and nonprofit organizations and encouraging participation in solidarity initiatives. The use of the Site and the registration of an Account constitute acceptance of the General Conditions. The User agrees to observe the provisions in their entirety and without exceptions. We invite the user to read this document with due attention.

2. COMPANY INFORMATION

The website wishraiser.com and its features are offered by: Wishraiser SRL, with registered office in Via Stefanardo da Vimercate, 28, 20128 Milan (MI), Italy - VAT number 11064630962, registered with the Milan Chamber of Commerce under number 09140550964, share capital Euro 10,798.09. Wishraiser SRL, the company that owns and is the exclusive owner of the Site and the domain name www.wishraiser.com, is an innovative SME.

3. DEFINITIONS

The following definitions can be used interchangeably in the singular or plural. Terms denoting one gender include the other gender.

“Account”: a set of features and tools assigned to a User following registration.

Fundraising”: the fundraising activity promoted by the Promoter on the Platform to finance its activities of general interest.

“Gift Card”: a virtual card with a unique code that can be purchased on wishraiser.com, allowing the donation in favor of the Organizations registered on the Site.

Contents”: all content, information, Site features, and other content created or made available by Wishraiser or its assignors.

“Contract” or “General Conditions”: this contract that governs the relationship between Wishraiser and Users regarding the use of the Site and its features.

Donation”: a voluntary cash donation of modest value that a User makes in favor of an Organization to support a fundraising campaign.

Incentive Initiative”: a socially and charitably oriented initiative promoted by Wishraiser to contribute to the success of a fundraising campaign.

“Organization” or “Nonprofit Entity”: Nonprofit organizations and third-sector entities registered on the Platform, established for the nonprofit pursuit of civic, solidarity, and social utility purposes.

Registration“: the procedure that allows a Visitor, by entering data in the appropriate online form, to create an Account on the Platform.

“Reward” or “Compensation”: the goods or services that the nonprofit entity may recognize to the Supporter in exchange for each received Donation.

Service”: the use of the Platform and its features, as described in the Agreement.

“Site” or “Platform”: a vehicle for fundraising initiatives promoted by nonprofit entities accessible at the following URL https://www.wishraiser.com and its associated subdomains.

“Company” or “Wishraiser”: Wishraiser SRL, with registered office in 20128 Milano (MI), Via Stefanardo da Vimercate, 28, Italia - P. Iva 11064630962.

“Supporter” or “Donor”: the User who decides to contribute to the success of a fundraising campaign by donating in favor of the nonprofit entities registered on the Platform.

“Sponsor” or “Testimonial”: companies, public figures, or other socially relevant figures from the worlds of art, entertainment, culture, sports, or science who make their image, notoriety, and free time available to contribute to the success of a fundraising campaign.

User“: the natural person who registers on the Site by creating an Account.

4. SUBJECT AND DESCRIPTION OF THE SERVICE

The Site is a digital fundraising platform where, upon registration, users can participate in a fundraising campaign by making a one-time or recurring donation to one or more nonprofit organizations chosen from those registered on the Platform. To make a Donation, the User must connect to the Site, choose the nonprofit organization to donate to, complete the registration of an Account by entering the required information into the form, provide payment card details, choose the amount of the Donation, and click the payment button to confirm the transaction.

5. FEATURES AND COMPLETION OF THE DONATION

The Donation must be of modest value. Modest value is such that it does not significantly impact the Supporter's assets. Donations can be single or recurring. A single Donation involves a one-time payment. A recurring Donation involves a monthly debit to the bank account, payment card, or other payment method available on the Platform. The Donation is perfected by transferring money to the Organization's or Wishraiser's account if the latter collects the amount on behalf of the nonprofit organization. The Supporter concludes a Donation directly with the nonprofit organization, excluding Wishraiser. Wishraiser remains unrelated to the relationship between the Organization and the Supporter regarding the provision of the Donation, with its role limited to providing the Service. Once the transaction with a payment card is completed, the Supporter will receive the operation receipt via email. Stripe Inc, as the payment service provider, will credit the entire amount paid as a donation to the nonprofit organization, net of transaction costs imposed by payment service providers and listed on the Site, during the transaction processing. The User can revoke a recurring Donation at any time by accessing their reserved area. It is also possible to modify the amount of one's Donation.

6. ACCEPTANCE OF THE GENERAL CONDITIONS AND MODIFICATIONS

6.1 Acceptance

To use the Site with all its features and make a Donation, the User must unconditionally accept these General Conditions, committing to their full compliance. These General Conditions apply from the User's acceptance for an indefinite period until the termination of the Contract. The User is aware that the conclusion of the Contract will take place electronically through the so-called "point and click," which involves pressing the virtual acceptance and payment button.

6.2 Modifications

The Company reserves the right to modify this Contract at any time for technical reasons (e.g., Platform and Service development) or to comply with any regulatory changes with notice not less than 15 days, which will be sent to the User via email. If the User does not agree with the proposed changes, they can close their Account by discontinuing the use of the Services. Account closure and Service termination are the only remedies available to the User. In the absence of termination within the notice period, the changes will be deemed tacitly accepted with the continued use of the Platform. The User acknowledges and agrees that the version of the General Conditions that is valid is the one available online on the Site. Therefore, the User is required to refer to the version available online on the date of access or use of the Services. Wishraiser may exceptionally modify this Contract without notice if the modification is necessary to address an unforeseen and imminent danger that could jeopardize the provision of the online Service, or the modification is necessary to protect Users from fraud, malware, spam, data breaches, or cybersecurity risks. It is understood that whenever a User decides to support the fundraising campaign through a liberal donation, they must confirm the acknowledgment and acceptance of these General Conditions before making the Donation itself. The User will then be free to accept the General Conditions or deactivate their Account by sending a request to the following email address: help@wishraiser.com

7. SITE FEATURES

7.1 Visitors

Access to the Site is free and without the obligation of Registration. Registration is, however, necessary to fully utilize the Platform and support fundraising campaigns. To make a Donation, the visitor must register an Account, entering the required information in the registration and payment forms.

7.2 Users

To be able to donate, Users must provide the Company with personal data. In addition, the User must check the relevant boxes as a sign of acknowledgment and acceptance of the General Conditions and the privacy policy. Once the Registration is completed, Users can donate by contributing to one or more fundraising campaigns. The User must be at least eighteen (18) years old to register on the Site, enter into this Contract, and make a Donation. The Company will not receive the payment card details used by Supporters to make Donations but will be communicated directly to the payment service provider.

7.3 Payment Service Provider

The payment of Donations by Supporters is made through Stripe as a payment service provider duly authorized to operate under the current regulations. Supporters will make the payment of the Donation directly to the Organizations, using the payment system made available by Stripe Inc. 7.4 Purpose of the Site

The Site is solely a vehicle for fundraising initiatives promoted by nonprofit entities, excluding any other promotional intent other than knowledge of the fundraising campaign itself. Wishraiser provides a digital platform through which nonprofit entities can raise funds from Supporters to carry out fundraising campaigns and beneficial projects, also giving the opportunity to Supporters who wish to participate in all the incentive initiatives announced on the Platform. During payment, Users can view the amount of the Donation. There is no minimum amount to be reached for the successful completion of a fundraising campaign.

8. USER'S RESPONSIBILITIES AND OBLIGATIONS

The User who makes a transaction on the Platform in favor of one or more nonprofit entities agrees to:
- Donate the chosen amount indicated on the Site at the time of concluding the transaction.
- Make payments in accordance with what is indicated on the Site using the Stripe Inc. payment service, accepting the terms of use viewable at the following link: https://stripe.com/it/terms.
- Authorize Wishraiser to debit the payment card for an amount equal to the Donation.
- Carefully evaluate the fundraising campaigns published on the Site, choosing freely the level of Donation to be made, starting from a minimum of € 5.
- Inform themselves and follow the awareness path described by the nonprofit organization on the Wishraiser platform aimed at promoting awareness of the social utility project and campaign they intend to finance.
- Not create more than one personal Account.
- Always act in accordance with applicable laws and regulations.
- Not create an Account on behalf of another person without their authorization.
- Not transfer their Account to third parties.
- Not create another Account without the Company's consent if the original Account is disabled.
- Ensure that their contact information is always correct and up-to-date.
- Not share their password or allow others to access their Account or perform any other action that could jeopardize its security.
- Use the Site and make one or more Donations with full awareness of supporting a fundraising campaign in favor of nonprofit entities.
- Use the Site in accordance with this Contract and as provided on the Site itself.
- Not copy, modify, or disseminate the content of the Site or the trademarks of Wishraiser and its licensors.
- Not use the Site in a way that could cause damage or violate the rights of third parties.
- Print or otherwise store this Contract in order to keep it on durable media.
- Comply with the terms and conditions set by payment service providers and be aware of their data collection and processing procedures.
- Not use false names during Registration.
- Not use false, invalid, or unauthorized credit cards.
- Pay any payment fees that their bank or payment service providers may charge.
- The Supporter is responsible for verifying the tax deductibility of the amount paid to the nonprofit entity with their own consultant.

9. WISHRAISER'S RESPONSIBILITIES AND OBLIGATIONS

9.1 Wishraiser undertakes to make the use of the Platform available to Users to support the fundraising campaign promoted by the nonprofit entity. Although Wishraiser may decide from time to time to directly advertise certain beneficial projects and awareness campaigns to create awareness among Users about the goals of a particular fundraising campaign, it is understood that the Company remains unrelated both with respect to the management and use of the amounts received as a Donation by the beneficiary nonprofit organizations and with respect to the realization or successful completion of a specific social project. It is up to the Supporter to carefully evaluate the fundraising campaigns proposed by the Organizations, any Rewards offered by the Organizations, and decide whether to support them with one or more Donations.

9.2 Wishraiser cannot be held responsible in case of non-compliance due to causes beyond its foreseeable control or force majeure, including malfunctions or breakdowns of any kind of its Site resulting in the impossibility of its use. The Company cannot be held responsible for any disputes that may arise between Organizations and Supporters, Site Users, and third parties. To the maximum extent permitted by law, Wishraiser disclaims any liability regarding the management of payments and their successful outcome, especially for tax, accounting, and/or tax aspects related to the management of the amount made available to Organizations. Furthermore, Wishraiser is unable to know or control any fees charged or chargeable to a Supporter by their bank and due at the time of the Donation payment. Websites related to third parties are not subject to Wishraiser's control, and the User acknowledges that the Company cannot be held responsible for the content or any other aspect of such sites or resources. When the User accesses third-party websites, including Organizations, they do so at their own risk.

10. GIFT CARD

Wishraiser offers Customers the opportunity to purchase and gift a prepaid Gift Card to be used exclusively for making Donations in favor of non-profit Organizations registered on the Platform. To purchase a Gift Card, the User must connect to the Site, register an Account (if not already owned) by entering the required information in the form, choose the payment method from those available on the Site, select the number of Gift Cards to purchase, choose the amount and duration of the Gift Card, and finally enter the name, surname, and email address of the Recipient. The Gift Cards can be used in favor of a single beneficiary Organization chosen by the Customer at the time of payment (so-called “Specific Gift Card”) or in favor of one or more Organizations (so-called “Open Gift Card”) chosen by the Recipient.

The Gift Card must be redeemed no later than 120 days from the payment date. In case of non-redemption, in the case of a “Specific Gift Card,” the amount will be donated to the Organization preselected by the User. In case of non-redemption, in the case of an “Open Gift Card,” the amount will be retained by Wishraiser as a user contribution and will fund the activities carried out by theImpact Program.
During payment, the User must indicate the name, surname, and email of the recipient to whom to gift the Gift Card so that Wishraiser can deliver it. The recipient of the Gift card must select the non-profit Organization that will receive the monetary value associated with the gift card unless that Organization has already been pre-indicated by the User. The Gift Cards, issued in digital format, will have an identification number (“ID”) and a redemption code (“PIN”). The use of the Gift Card for the benefit of an Organization entitles the User to participate in the prize initiatives announced by Wishraiser for the validity period of the card. The gift card has a service cost, indicated during the purchase process. Gift cards cannot be converted into cash.

11. DELIVERY OF REWARDS

Some Fundraising Campaigns provide that the beneficiary Organization of a Donation recognizes a Reward to the Supporter. For this reason, if expressly indicated on the fundraising campaign page, in exchange for the received Donation, the non-profit entity undertakes to assign a Reward to the Supporter, which may consist of goods or services of modest value or, in any case, of a value lower than that of the Donation, according to the discipline of modal donation under article 793 of the Civil Code. Rewards will be shipped both in Italy and abroad via courier. The shipment is free. In case the Supporter is not present at the time of delivery, the courier will attempt a second delivery the next day. If the second delivery attempt also fails, the courier will leave a notice of deposit. The User will then have 7 days to pick up the Reward at the relevant post office indicated in the deposit notice. After 7 days without the User picking up, the Reward will be returned to the sender, and the Supporter will be responsible for arranging a second shipment following the instructions provided by the Company. The costs of the second shipment will be borne by the User.

12. WARRANTIES

12.1 Exclusion of warranties regarding the operation and content of the Platform.

Except as provided by mandatory laws, the Company does not guarantee the uninterrupted or error-free operation of the Site, nor that it will correct all defects or malfunctions thereof. The Site, including the Contents, is provided as is, without any express or implied warranty, including, for example, a warranty of completeness, truthfulness, soundness, suitability for a particular purpose. Please note that non-profit Organizations are third-party entities independent of Wishraiser, and therefore, Wishraiser cannot guarantee to Supporters that the social utility projects funded through the Site will actually be implemented, nor can it be held responsible for the information published by the non-profit entity on the fundraising campaign page. The Company cannot be held responsible for technical problems or malfunctions affecting networks or telephone lines, online computer systems, servers or providers, computer equipment, software, malfunctions of email programs or audio/video playback caused by technical problems or congestion of traffic on the Internet or on the Site.

12.2 No suitability warranty

If provided within a specific Campaign, the Beneficiaries will acknowledge to the Supporter the Rewards indicated on the Site based on the level of Donation made. Rewards consist of digital goods, products, and services that are awarded in the condition in which they are described on the Campaign-dedicated page of the Site. Neither the nonprofit organization nor Wishraiser can guarantee anything regarding the quality of the Rewards, which may include items that have been previously used, objects used in sports events, recreational events, shows, and due to their wear and non-ordinary use, as well as their uniqueness, may exhibit some defects and imperfections. These defects and imperfections could also be an intrinsic characteristic of the Reward as well as a real added value.

13. INTELLECTUAL PROPERTY

The Site, all its features, and the Content, including images related or otherwise attributable to the Testimonials, are owned by the company Wishraiser SRL or its licensors and protected by copyright laws. It is understood that, unless specifically authorized in writing by the company, Users may use the Content exclusively for the purposes of using the Site. Under no circumstances is it permitted to modify, distribute, transmit, publish, commercialize, license, copy, or use the contents of the Site for purposes other than the use of the Site itself.

14. COMMUNICATIONS

The Company may send technical communications related to the operation of the Site. The Company may send Users messages, communications, announcements, including, for example and not exhaustively, notifications, communications related to fundraising campaigns. The User agrees to read carefully the privacy policy published on the Platform.

15. APPLICABLE LAW AND JURISDICTION

15.1 This Agreement is governed by Italian law. For any dispute relating to this Agreement, the exclusive jurisdiction will be the Court of Milan. If the User falls within the definition of a consumer, the competent court will be that of his residence.
